Terms of Service

These Terms of Service ("Terms") govern your access to and use of Quotram, an AI quoting platform operated by Quotram, Inc. ("Quotram"). By creating an account or using the service, you ("Customer", "Shop", "you") agree to these Terms.

You must be at least 18 years old and authorized to bind your shop to a software subscription. You are responsible for keeping your credentials secure and for all activity that happens under your account. We reserve the right to suspend accounts that violate these Terms or applicable law.

• Quotram is offered on a 14-day free trial. Card on file is required at sign-up; you will not be charged during days 1-14. Your selected plan begins automatically on day 15 unless you cancel before then.
• Cancellation is available at any time from the Stripe-hosted billing portal, including during the trial. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial periods.
• Subscription pricing is published on the pricing page and shown at checkout. We will give you at least 30 days' notice before any price increase that affects your plan.
• Sales tax is calculated automatically by Stripe Tax and added to invoices where applicable.

You retain all rights to the drawings, parts, quotes, customer information, and Shop configuration you upload or generate using Quotram ("Customer Data"). You grant us a limited license to process Customer Data only to operate the service for you. We do not use Customer Data to train AI models or to provide services to other Shops. You agree not to: (a) reverse-engineer or attempt to extract our source code or AI prompts; (b) use the service to generate quotes for activity that violates law or export-control restrictions (including ITAR-restricted defense articles unless you have confirmed compliance with us in writing); (c) attempt to access other Shops' data; (d) use the service to send spam or unsolicited marketing email; (e) interfere with or disrupt the service.

Quotram uses AI to extract drawing data, draft emails, and price quotes. AI outputs are recommendations, not final answers. Every cost line, every email, and every extracted field is reviewable and editable by your estimator before it leaves your shop. You are solely responsible for the accuracy and appropriateness of any quote you send to your customers, including pricing decisions, lead-time commitments, and terms.

We target 99.5% monthly uptime for the application. Scheduled maintenance windows will be announced in advance where possible. We are not liable for downtime caused by third-party infrastructure outages (e.g. Vercel, Supabase, Stripe, Anthropic) beyond our reasonable control.

Each party will treat the other's non-public information as confidential and use it only to perform under these Terms. Customer Data is treated with at least the same level of care as our own confidential information.

The service is provided "as is" and "as available". To the maximum extent permitted by law, Quotram disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Quotram's total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. In no event shall Quotram be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

Either party may terminate the agreement at any time. On termination, your access ends at the conclusion of the current billing period and Customer Data is retained for 30 days before deletion (see the Privacy Policy for export options during that window).

These Terms are governed by the laws of the State of [STATE], USA, without regard to conflict-of-laws principles. The parties consent to exclusive jurisdiction of the state and federal courts located in [COUNTY], [STATE].

We may update these Terms from time to time. Material changes will be communicated to Shop owners by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
